L'Australie est très loin de la France et pas seulement en kilomètres. Le magazine britannique, The Lawyer, a consacré la se- maine dernière un article au cabinet d'avocats australien, Slater & Gordon, qui est (à notre connaissance) le seul cabinet d'avocats du monde à être coté en bourse. L'information méritait d'être relevée d'autant plus que Slater & Gordon, firme créée à Melbourne en 1935 forte d'un effectif de plus de 400 personnes, est un acteur majeur du paysage juridique australien.
Alors qu'en France, que la loi du 31 décembre 1990 élargissait les possibilités de l'exercice en groupe du métier d'avocat avec l'instauration des SELARL, SELAFA et autres SELAS, elle limitait aussitôt l'impact de cette liberté en fixant des conditions rigoureuses de détention du capital de ces nouvelles structures. Difficile, donc, d'imaginer un appel public à l'épargne qui ne pourrait être souscrit que par des avo- cats ! Les Australiens ne se sont pas encombrés des mêmes considérations et la quasi- totalité des états australiens ont adopté des dispositions qui permettent l'introduction en bourse des cabinets d'avocats. u

Il est intéressant de noter que le contentieux est l'activité dominante de ce cabinet et que, dans un système axé sur l'honoraire de résultat, les fonds levés sur les marchés permettent de mieux couvrir le « besoin en fonds de roulement » (estimé pour Slater & Gordon à environ 45 millions €) d'une activité dans laquelle l'avocat fait l'avance de son temps ainsi que de nombreux frais.
Le cabinet Slater & Gordon avait une politique ambitieuse de croissance même avant son introduction sur le marché. Depuis que le cabinet est en bourse, il a procédé à cinq acquisitions de cabinets d'avocats et a ouvert plusieurs bureaux dans différentes provinces du continent australien, portant leur nombre à 24.
L'introduction en bourse a aussi permis de mettre en place un système de stock- options qui a été ouvert à plus de 40 membres du personnel et qui est maintenant pleinement...
